team that we need in order to be successful. All of our staff
has domain expertise in the mortgage and the valuation
industry.

Robert J. Smith (President, U.S.
Operations) is responsible for U.S. operations,
including the expansion strategy of Basis100
technologies into the U.S. capital markets and mortgage
industry. Prior to joining Basis100, Bob spent nine
years as Senior Vice President at Merrill Lynch Credit
Corporation (MLCC), where he was instrumental in
building the culture and processes, which earned MLCC
consistent recognition for excellence in quality
management. During his tenure at MLCC, Bob directed the
company's risk management and capital markets
activities. In addition, he held additional strategic
and operational roles, including Chief Credit Officer,
group manager of MLCC's operating platform, and interim
CIO. Bob joined Cendant Mortgage in January 2001, upon
Cendant's acquisition of substantially all of MLCC's
operations. Prior to joining MLCC, Bob culminated a
nine-year public accounting career as a Senior Manager
for Deloitte and Touche LLP, where he was recognized as
a National Industry Specialist in savings and loan and
real estate industries. Bob holds a BS in Business
Administration from the University of New Hampshire, and
is a Certified Public Accountant in the state of
Florida. |

Thomas DeLorenzo, Jr. (Chief
Operating Officer, MortgageRisk) is responsible for
promoting the continued expansion and profitability of
MortgageRisk technology, while also directing all daily
operations, including budget, sales and marketing,
pricing, employment and all administrative affairs of
Basis100's New Jersey office. Tom has been with
MortgageRisk since the inception in 1992. Through the
years the company has had a consistent growth rate and
expects 2002 projected revenue of US $6 million.
MortgageRisk has developed an information product line
that covers the entire lifecycle of a mortgage. This
strategy and the integration of products will only help
Basis100 become the leader in mortgage analytics and
technology in the U.S. His mortgage-industry background,
as well as a "hands-on" approach to product development,
operations and data collection, has gained Tom the
respect of his industry peers and mirrors the
entrepreneurial spirit of Basis100. Prior to
MortgageRisk, Tom worked for Telerate/Dow Jones as a
senior mortgage security analyst and programmer where he
co-authored, designed and implemented the Advanced
Factor Service, the industry's best short-term
prepayment indicator for mortgage-backed securities
(MBS). Tom holds a Bachelor's in Computer Information
Systems from Bentley College. |

Elizabeth Green (Vice
President, U.S. Valuation Solutions) brings over 18
years of mortgage banking software experience to
Basis100. She joined Basis100 in 1999 and was
instrumental in developing the technology and business
requirements for BasisXpress™, a loan origination and
processing solution currently in use in the Canadian
marketplace. She is integral in developing the U.S.
strategy, and in this new role, Elizabeth is responsible
for product innovation and strategies to expand the role
of the AVM in the global marketplace. Prior to joining
Basis100, she was Vice President and Director of Client
Relationships for Decade Systems Corporation in
Jacksonville, Florida. Here, she managed the product
development and client implementation of a proprietary
data translation engine architected specifically for the
mortgage banking industry. Prior to joining Decade
Systems, Elizabeth was an Assistant Vice President in
Systems for Merrill Lynch Credit Corporation where she
was responsible for the management of the servicing and
origination systems. Elizabeth began her career at
Data-Link Systems (now MortgageServ) where she held
several positions in Customer Support, New Client
Implementation and Portfolio Data Conversion
Teams. |

Bryan Horn (Vice President,
U.S. Sales) joined Basis100 in July 2000 as the
Northeast Sales Manager, where he has consistently been
a top performer for the company, accounting for 30% of
U.S. revenues for 2001. His background represents
nationwide services to the U.S. mortgage industry
including credit, appraisal, title and closing and
flood; affording him a strong knowledge of both
origination and servicing sides of the mortgage
industry. Prior to joining Basis100, Bryan held sales
management and national account responsibilities for
companies such as LandAmerica Financial Group, Strategic
Mortgage Services, and TRW with a consistent track
record spanning 10 years. This provides him with an
intrinsic understanding of customer needs and how
Basis100 technologies serve the mortgage markets. Bryan
Graduated from Indiana University with a Bachelor of
Science in Business. |

Jim Pavlonnis (Vice President,
Controller) has more than 25 years experience in the
banking and mortgage industry. Before joining Basis100,
Jim served as a Senior Vice President of Lender's
Service Inc. with responsibility for finance and
accounting. Prior to Lender's Service, he was the Senior
Vice President, CFO of First Nationwide Mortgage with
responsibility for cash management, accounting,
portfolio evaluations and loan servicing acquisitions.
Jim is a graduate of the University of Oklahoma, and has
a Master's degree in Finance from the University of
Maryland. |
